1. TermsandConditionsofSale:Alldescriptions,quotations,proposals,confidentialinformationorequipmentfurnishedbyBuyer,oranyother
    offers,acknowledgments,acceptancesandsalesofSeller'sproductsareitemswhichbecomeBuyer'sproperty,maybeconsideredobsoleteand
    subjecttoandshallbegovernedexclusivelybythetermsandconditions.maybedestroyedbySelleraftertwo(2)consecutiveyearshaveelapsed
    Anytermsorconditionsinadditionto,orinconsistentwiththosestatedwithoutBuyerplacinganorderfortheitemswhicharemanufacturedus-

    bearinterestattherateof1-1/2%foreachmonthoraportionthereofothertaximposedbyanytaxingauthority,BuyershallsaveSellerharm-
    thatBuyerislateinmakingpayment.AnyclaimsbyBuyerforomissionslessfromandagainstanysuchtax,togetherwithanyinterestorpenal-
    orshortagesinashipmentshallbewaivedunlessSellerreceivesnoticetiesthereonwhichmaybeassessediftheitemsareheldtobetaxable.

    allorpartofthisorder,however,nosuchrequestedmodificationorrulesorregulationsofanygovernmentorgovernmentagency,fires,
    cancellationshallbecomepartofthecontractbetweenBuyerandSellerfloods,delaysorfailuresindeliveryofcarriersorsuppliers,shortagesof
    unlessacceptedbySellerinawrittenamendmenttothisAgreement.materialsandanyothercausebeyondSeller'scontrol.
